These Terms of Service (“Terms”) govern access to and use of the Intellious Technologies website(intellious.tech) and related public online materials. By accessing or using the website, you agree to these Terms. If you do not agree, do not use the website.

These Terms are designed for website use. Paid professional services, managed services, software development,implementation, consulting, support and other customer engagements are governed by separate contracts, such as a Master Services Agreement, Statement of Work, Order Form, DPA or other written agreement. Where a signed customer agreement conflicts with these website Terms, the signed customer agreement controls for that engagement.

1. Company and Website Scope

The website is operated by Intellious Technologies. The website currently identifies operating locations in San Antonio, Texas, USA and Bengaluru, Karnataka, India. The exact contracting legal entity must be inserted before publication.

The website provides information about enterprise modernization, revenue and billing services, customer experience and CRM, data and AI, integration services, managed services and related technology capabilities.

2. Permitted Use

  • Use the website only for lawful business, informational, evaluation and communication purposes.
  • You may view and download publicly available materials for internal, non-commercial reference, provided copyright, trademark and proprietary notices remain intact.
  • You must not use the website to misrepresent your identity, affiliation or authority.

  • Nothing in these Terms transfers ownership of customer materials that are protected by a separate customer agreement.

6. Confidentiality

Public website use does not create a confidentiality obligation regarding information you choose to submit through a public or unsecured channel.

Confidential information exchanged in connection with a commercial engagement will be governed by the applicable NDA, MSA, SOW or other written agreement.

To the maximum extent permitted by applicable law, Intellious will not be liable for indirect, incidental, special, exemplary, punitive or consequential damages, or for loss of profits, revenue, business, goodwill, opportunity, data or business interruption arising from or relating to website use.

To the maximum extent permitted by law, the aggregate liability of Intellious arising out of or relating to the website or these terms will not exceed the greater of:

  1. USD 100 or
  2. The amount actually paid by you to Intellious for the website-specific services giving rise to the claim during the twelve months before the event giving rise to liability. If no such amount was paid, the USD 100 cap applies.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability that applicable law makes non-waivable.

12. Indemnification

  • To the maximum extent permitted by law, you agree to defend, indemnify and hold harmless Intellious, its affiliates, directors, officers, employees and agents from third-party claims, damages, liabilities, costs and reasonable legal fees arising from your unlawful use of the website, violation of these Terms, infringement of third-party rights, or materials you submit without the required rights or permissions.
  • Intellious will provide reasonable notice of a covered claim and may participate in the defense. You may not settle a claim in a manner that admits liability or imposes obligations on Intellious without Intellious’s prior written consent.

14. Compliance with Laws; Export Controls and Sanctions

  • These Terms shall be governed by the laws applicable to the final contracting Intellious legal entity, subject to mandatory consumer or privacy rights that cannot lawfully be excluded.
  • For B2B website disputes, the parties intend that disputes be resolved through confidential arbitration or the courts as finalized by counsel. The seat, venue, language, number of arbitrators and exclusive jurisdiction must be completed before publication.

17. Changes to These Terms

We may update these Terms from time to time. The revised version will state its effective date. Continued use of the website after the effective date constitutes acceptance to the extent permitted by law.

18. Severability and Waiver

If a provision is held invalid or unenforceable, it will be modified or severed to the minimum extent necessary, and the remaining provisions will remain in effect.

Failure to enforce a provision is not a waiver of future enforcement.
